Companies subject to the regulations and supervision of the Capital Markets Board (CMB) and the Banking Regulation and Supervision Agency (BRSA) are now required to prepare (1) Sustainability Reports and obtain (2) Assurance Audits in accordance with the Turkish Sustainability Reporting Standards (TSRS), provided they meet at least two of the following three criteria based on their status or in the years 2022 and 2023:
- Total assets of 500 million TL or more,
- Annual net sales revenue of 1 billion TL or more,
- 250 or more employees.
According to TSRS 1, sustainability-related financial disclosures must be presented in a separate report titled “TSRS-Compliant Sustainability Report”, which is part of the company’s general-purpose financial reporting.
The deadline for submitting the 2024 limited assurance (audited) report is the same as the deadline for submitting semi-annual interim financial statements. In other words:
- For non-consolidated financial statements, the deadline is August 11, 2025.
- For consolidated financial statements, the deadline is August 19, 2025.
There is very limited time remaining.
The appointment of the sustainability auditor must be made by a General Assembly resolution, separate from the appointment of the financial auditor. As a transition measure, the sustainability auditor for both the 2024 transition year and the 2025 reporting year can be appointed in the same General Assembly meeting. However, in the announcement dated June 25, 2025, the Public Oversight, Accounting and Auditing Standards Authority (KGK) stated that the auditors to conduct assurance for the 2024 and 2025 TSRS-compliant sustainability reports should be appointed by the Board of Directors and submitted for approval at the next ordinary General Assembly. Furthermore, the 2024 sustainability report should be presented at the 2025 General Assembly.
